Governed agent unit use policy

This Governed Agent Unit Use Policy (the “Policy”) explains how Governed Agent Units (GAUs) are used to measure and allocate usage of certain AI-powered and usage-based features of the Superblocks platform and related services (the “Services”). This Policy is incorporated by reference into any applicable order form (“Order Form”) and the Master Services Agreement governing use of the Services (the “Agreement”).

Capitalized terms used but not defined in this Policy have the meanings set forth in the Agreement; provided that if the Agreement uses different defined terms for substantially similar concepts, such terms will be deemed to refer to the corresponding defined terms in the Agreement

1. Overview of Governed Agent Units. GAUs are the unit of measurement Superblocks uses to track and allocate Customer usage of certain functionality within the Services. GAUs represent the ability to access and use specific AI-driven or usage-based features of the Services, subject to the Agreement and the applicable Order Form. GAUs are not currency, do not represent monetary value outside the Services, are non-transferable, and may only be used in connection with the Services.

2. Purchasing GAUs. GAUs are purchased, allocated, or included as part of a subscription through an Order Form. Each Order Form may specify:

  • the Services and features enabled;
  • the quantity of GAUs included or purchased;
  • applicable fees; and
  • the subscription term.

GAUs may be bundled with subscription tiers or purchased separately, as described in the applicable Order Form.

3. How GAUs Are Consumed. GAUs are consumed based on Customer’s actual use of the Services. Different products, features, workflows, and configurations may consume different amounts of GAUs. GAU consumption may be affected by factors including:

  • the type of feature or workflow used;
  • volume and frequency of usage;
  • configuration and automation choices;
  • enabled integrations; and
  • the AI models or processing methods selected.

As a result, GAU usage will vary across Customers and use cases.

4. Tracking and Measurement of Usage. Customer GAU usage is tracked and displayed in the Customer Admin Dashboard, which is accessible within the Services. The Customer Admin Dashboard is the authoritative source of record for:

  • GAU consumption;
  • remaining GAU balance; and
  • historical usage information.

For billing and usage purposes, the Customer Admin Dashboard controls, regardless of any estimates, forecasts, or illustrative examples provided by Superblocks. Superblocks does not guarantee that a given quantity of GAUs will support any specific usage volume, feature set, or duration.

5. Depletion of GAUs. If a Customer exhausts its available GAUs during an Order Term, Superblocks may:

  • limit or suspend access to certain usage-based features;
  • require the purchase of additional GAUs; or
  • bill for excess usage,

in each case as set forth in the Agreement or applicable Order Form.

6. Expiration and Refunds. Unless otherwise specified in an Order Form, GAUs expire at the end of the applicable subscription term and do not roll over to subsequent terms. Unused GAUs are forfeited at expiration of the Order Term. All purchases of GAUs are final and non-refundable except as required by law or expressly stated in the Agreement. GAUs may not be transferred, assigned, or shared outside the Customer’s account.

7. Updates to This Policy. Superblocks may update this Governed Agent Unit Use Policy from time to time by posting a revised version at the applicable public URL. Any changes will take effect as described in the Agreement. Continued use of the Services after the effective date of an updated Policy constitutes acceptance of the revised terms.
